2. Eligibility

To use Keyra, you must:

• Be at least 18 years old (or have the consent of a legal guardian if permitted by local law).
• Have the legal capacity to enter into these Terms.
• Be located in a jurisdiction where the Service is available.

3. Account Registration

Account Creation: You must register an account to access certain features of the Service. During registration, you agree to provide accurate and complete information.

Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

Verification: Keyra may require identity verification, including but not limited to phone number and email verification, as part of the onboarding process.

4. Use of the Service

Buyer and Seller Roles: Keyra is a marketplace connecting sellers (primarily located in Thailand) with buyers worldwide. You agree to use the Service only for lawful purposes and in accordance with these Terms.

Listings: Sellers are responsible for the accuracy and legality of all listings. All items must be described truthfully, and any misrepresentations are prohibited.

Transactions: All transactions processed through Keyra are subject to our payment and shipping policies. Sellers agree to ship items as described and in accordance with Keyra's shipping fee calculations and guidelines.

5. Prohibited Activities

You agree not to engage in any of the following:

• Listing counterfeit or fake items, or making misleading claims about any item's value, condition, or characteristics.
• Violating any intellectual property, privacy, or other rights of third parties.
• Engaging in fraudulent, deceptive, or manipulative practices.
• Using automated systems or bots to access or interact with the Service without our express permission.

6. Shipping and Fees

Shipping Fee Calculation: For MVP purposes, shipping fees will be calculated solely based on the seller's return/shipping location and the buyer's location, using a fixed rate method as determined by Keyra. Sellers do not have the option to adjust these fees.

Carrier Integration: Keyra may integrate with third-party APIs (e.g., Shippop) to retrieve real-time shipping data and compute an average rate. This average will be presented as the flat shipping fee to buyers.

Taxes and Additional Charges: Any applicable taxes or additional charges will be disclosed during the checkout process.

7. Fees and Payments

Commission: Sellers agree to pay a commission on each sale as outlined in our Fee Schedule. This fee is non-refundable.

Payment Processing: All payments are processed through our approved payment providers. Keyra is not responsible for any issues arising from third-party payment processors.

Refunds and Disputes: Disputes regarding transactions, refunds, or shipping should be resolved through our dispute resolution process as outlined in our Help Center.

8. Intellectual Property

Ownership: All content on the Service, including text, graphics, logos, and software, is the property of Keyra or its licensors.

License: Keyra grants you a limited, non-exclusive, non-transferable license to use the Service for its intended purposes.

User Content: You retain ownership of content you post, but you grant Keyra a worldwide, royalty-free license to use, reproduce, and display that content as necessary to provide the Service.

9. Disclaimers and Limitation of Liability

Service "As Is": Keyra is provided "as is" and "as available" without warranties of any kind. We do not guarantee that the Service will be uninterrupted or error-free.

Liability: To the maximum extent permitted by law, Keyra will not be liable for any indirect, incidental, or consequential damages arising from your use of the Service.

Third-Party Links: The Service may contain links to third-party websites or services. We are not responsible for their content or practices.

10. Termination

Termination by Keyra: We may suspend or terminate your account and access to the Service if you violate these Terms or engage in fraudulent or harmful activities.

User Termination: You may terminate your account at any time by following the procedures in your account settings. Termination does not affect any obligations incurred prior to termination.

11. Governing Law and Dispute Resolution

Governing Law: These Terms shall be governed by and construed in accordance with the laws of Thailand.

Dispute Resolution: Any disputes arising from these Terms shall be resolved through arbitration in Thailand, unless prohibited by applicable law.

12. Changes to the Terms

Keyra reserves the right to modify these Terms at any time. We will provide notice of any material changes, and your continued use of the Service after such changes constitutes your acceptance of the new Terms.
